ASSOCIATE COUNCIL


BY-LAWS



We, the Associate Council of the Greater Lexington Apartment Association, Inc. agree to abide by the Statement of Ethics as put forth by the Greater Lexington Apartment Association, Inc. and the By-laws as follows:


ARTICLE I


The name of this sub-organization shall be Greater Lexington Apartment Association, Inc. Associate Council.

ARTICLE II


The objectives of this Associate Council shall be:

A.    To initiate and encourage the exchange of information and experience between members of the association.

B.    To advocate a Code of Ethics to maintain high professional standards and sound business methods among its members in order to serve the best interest of the industry and the public.

C.    To foster friendly relations between Regular and Associate members.

D.    Organize the Lexington Apartment Association’s yearly Trade Show and Golf Outing.

E.    Promote at least one (1) additional social fund raising activity yearly.




ARTICLE III


This Associate Council shall operate as a body under the auspices of the Greater Lexington Apartment Association, Inc.










ARTICLE IV



Membership on the Associate Council shall be by appointment of this Council at its November Meeting, from a slate of candidates submitted by the Associate Council at its October General Meeting.

The Associate Council shall consist of the Immediate Past Chairperson and at least eight (8) and not more than twelve (12) Associate Members, who are in good standing.  Each member shall serve a two (2) year term.  All members and the Immediate Past Chairperson shall be entitled to one (1) vote.

Vacancies on the Associate Council, occurring between the Annual Meeting for Appointment in November shall be filled for the unexpired term by a vote of the Associate Council from the slate previously submitted at the October Meeting.

Any Associate Council Member may, for cause, be removed from the Council by a two-thirds (2/3) majority vote of the Council, as a whole. In the event any member fails to attend two (2) meetings of the Council, in a calendar year, such member shall be removed, automatically, and notified in writing by the Secretary of the Council.  The Council may extend this if there is a personal/medical reason given in writing.  

Associate Council Members who become disassociated with the company for whom they were employed at the time of their election shall leave the Council.  If they take a position with another associate member in good standing within 30 days the Council will vote on reinstatement.  


ARTICLE V



Officers and their duties shall be as follows:
  1. Chairperson- The Chairperson shall be the Presiding officer.  He/She shall be empowered to execute on behalf of the Associate Council all instruments requiring formal execution. The Chairperson shall be elected by the Associate Council at a meeting prior to the Installation of the Associate Council at the December General Meeting.
  2. Vice-Chairperson - In the absence of the Chairperson, the Vice-Chairperson shall assume the functions and responsibilities of the Chairperson.
  3. Secretary - It shall be the duty of the Secretary to keep minutes of all the meetings, to maintain a file of By-Laws and other documents and correspondence relating to the affairs of the Associate Council.  It shall also be the duty of the Secretary to supply new members with By-laws and other documents and correspondence relating to Associate Council.
  4. In the event that one of the above named officers is unable to fulfill the term of the office, the appointment of a successor shall be by nomination from the existing Associate Council by two-thirds (2/3) majority vote.  Officers shall serve a one (1) year term from January 1 to December 31, and may be re-elected.


ARTICLE VI


A budget shall be prepared and submitted to the Executive Officer/Budget Committee by October 15th each year and shall be accompanied by planned calendar of events.  Any items/events planned after submission, are subject to approval.


ARTICLE VII


The Council may from time to time form ad hoc or permanent committees for the purpose of carrying out the business of the Council.  Committees may be comprised of regular and associate members.

If the Council elects to form such a committee, a vote shall be held and the Chair/Co-Chair of the committee shall be selected by plurality.

The Chair and Co-Chair of the Trade Show and Golf Outing will form their committees.  These committees would be made up of other associate and regular members who do not have a position on the Council.


MISCELLANEOUS


The latest edition of “Robert’s Rules of Order” shall govern the procedure of all meetings of the Associate Council and the meetings of the Associates of this Association.  

Any changes to these By-Laws must be submitted to the Greater Lexington Apartment Association Board of Directors for final approval.
